Terms of Service

These Terms of Service ("Terms") are a contract between you (and, if you use the Service on behalf of an organisation, that organisation — "you") and Client Path Ltd, a company registered in England and Wales (company number [PLACEHOLDER: Companies House number]), registered office [PLACEHOLDER: registered office address] ("Client Path", "we", "us"). They govern your use of the Client Path agentic CRM at clientpath.pro (the "Service").
By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Client Path is an agentic CRM that researches prospects, scores propensity to purchase, manages deals, and drafts outreach, with AI agents performing work subject to the controls you configure. We may update, add, or remove features over time. We will not make changes that materially degrade the core Service during a paid term without notice.
2. Accounts and eligibility
You must be at least 18 and able to form a binding contract. You are responsible for the activity under your account and for keeping your authentication credentials secure. Notify us at support@clientpath.pro of any unauthorised use.
3. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. In particular, you are responsible for your outbound communications — including consent, suppression, and compliance with the UK GDPR, PECR, and equivalent laws — when you use the Service to send or draft outreach.
4. Your data
You retain all rights in the data you upload or generate ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide and support the Service. Where Customer Data includes personal data, our Data Processing Addendum applies and you confirm you have a lawful basis to provide it to us. You are responsible for the accuracy and legality of Customer Data.
5. Fees, subscriptions, and credits
Paid plans and prepaid LLM credits are billed as described at checkout. Subscriptions renew automatically each term unless cancelled before the renewal date. Prepaid credits are consumed as you use AI features. Fees are exclusive of VAT and other taxes, which you are responsible for where applicable. Refunds are governed by our Refund Policy. We may change pricing on renewal with [PLACEHOLDER: notice period, e.g. 30 days'] notice.
6. Non-payment
If a payment fails, we may restrict or suspend access until the balance is paid, following the dunning process described in our billing communications.
7. Third-party services
The Service relies on third-party providers (hosting, payments, email, web research, and AI model providers). We are not responsible for those providers' own services, and your use of any third-party integration you connect is at your own risk and subject to that third party's terms.
8. Intellectual property
We and our licensors own all rights in the Service, including its software, design, and brand. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, reverse-engineer, resell, or create derivative works of the Service except as permitted by law.
9. AI output
AI-generated output (research, scores, drafts) can be incomplete or wrong. It is provided as a decision-support aid, not as professional, legal, or financial advice. You are responsible for reviewing output before relying on or sending it.
10. Availability and support

11. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms or the Acceptable Use Policy, or where required by law. On termination, your right to use the Service ends; data handling on termination follows our Privacy Policy and DPA.
12. Warranties and disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud).
13. Limitation of liability
Subject to the paragraph above, our total aggregate liability arising out of or related to the Service in any 12-month period is limited to the greater of the fees you paid us in that period or [PLACEHOLDER: floor figure, e.g. £100]. We are not liable for indirect or consequential loss, loss of profit, revenue, goodwill, or data.
14. Indemnity
You will indemnify us against claims arising from your Customer Data or your use of the Service in breach of these Terms or applicable law, including any outreach you send. [PLACEHOLDER: confirm scope with counsel.]
15. Changes to these Terms
We may update these Terms. For material changes we will give notice by email or in-product. Continued use after changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any competent court.
